Terms of Service

1. Agreement to Terms
By accessing or using Aprendio's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.
2. Description of Services
Aprendio provides Fractional Chief AI Officer (CAIO) services, including but not limited to:
- AI strategy development and implementation
- Business process automation consulting
- Custom automation system development
- Workflow optimization and analysis
- Technology integration and implementation
Services are provided on a project basis, retainer basis, or ongoing fractional executive arrangement as agreed upon in individual service agreements.
3. Engagement Terms
All services are subject to a separate written agreement that will specify:
- Scope of work and deliverables
- Timeline and milestones
- Compensation and payment terms
- Confidentiality requirements
- Termination conditions
In the event of any conflict between these Terms of Service and a signed service agreement, the service agreement shall prevail.
4. Payment Terms
Invoicing: Payment terms will be specified in individual service agreements. Standard terms are net 15 days from invoice date unless otherwise agreed.
Late Payments: Late payments may be subject to a service charge of 1.5% per month (18% annually) or the maximum amount allowed by law, whichever is less.
Expenses: Client is responsible for reimbursement of approved out-of-pocket expenses incurred in connection with services.
5. Client Responsibilities
Client agrees to:
- Provide timely access to necessary information, systems, and personnel
- Designate a primary point of contact for project coordination
- Provide timely feedback and approvals as required
- Maintain confidentiality of proprietary methodologies and processes shared by Aprendio
- Ensure compliance with all applicable laws and regulations in their use of delivered services
6. Intellectual Property
Client Deliverables: Upon full payment, client receives ownership of custom deliverables specifically created for their project, subject to any third-party licenses.
Aprendio IP: Aprendio retains all rights to pre-existing intellectual property, methodologies, frameworks, tools, and general knowledge developed prior to or independent of the engagement.
Third-Party Tools: Any third-party software, platforms, or tools used in delivering services remain subject to their respective licenses.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of the service agreement. Confidential information does not include information that:
- Is or becomes publicly available through no breach of this agreement
- Was rightfully in the receiving party's possession prior to disclosure
- Is independently developed without use of confidential information
- Is required to be disclosed by law or court order
8. Warranties and Disclaimers
Professional Standards: Aprendio warrants that services will be performed in a professional manner consistent with industry standards.
No Guarantees: While we project ROI and outcomes based on our experience, results depend on many factors outside our control. We make no guarantees regarding specific business results, revenue increases, or cost savings.
AS-IS Disclaimer: Except as expressly provided in a service agreement, services are provided "AS IS" without warranties of any kind, either express or implied.
9. Limitation of Liability
To the maximum extent permitted by law, Aprendio's total liability for any claims arising from services shall not exceed the total amount paid by client for the specific services giving rise to the claim.
Aprendio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, even if advised of the possibility of such damages.
10. Termination
Either party may terminate a service agreement according to the terms specified in that agreement. Unless otherwise specified:
- Either party may terminate with 30 days written notice
- Client is responsible for payment of all services rendered through the termination date
- Aprendio will provide work-in-progress in its current state upon termination
- Confidentiality obligations survive termination
11. Independent Contractor
Aprendio is an independent contractor. Nothing in these terms or any service agreement creates an employment, partnership, or joint venture relationship. Aprendio is responsible for all taxes, insurance, and benefits for its personnel.
12. Governing Law and Disputes
These Terms shall be governed by the laws of the State of Kansas, without regard to conflict of law provisions.
Any disputes shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Wichita, Kansas, in accordance with the rules of the American Arbitration Association.
13. Modifications
Aprendio reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of services after changes constitutes acceptance of modified terms.
